The Tennessee Tigers is a year round competitive basketball club for girls and boys ages 9 - 18. It was founded in 1990 by Cleve Harris.

It is the goal of the Tigers’ organization to develop basketball skills and to raise the level of play of both the male and female athlete within a team concept. This mission is accomplished by using experienced coaches and by giving the players an opportunity to play with and against quality competition. In doing this, the Tigers organization provides an environment through which each player develops and maximizes her individual basketball skills within the framework of a competitive team.

Along with the development of basketball skills, the organization stresses the development of the athlete as a young person. Each member learns teamwork, good sportsmanship, and the importance of hardwork and dedication while developing character. Finally, the Tigers’ organization provides a forum for quality players to display their abilities for college scouts and to enhance their scholarship opportunities.

I. PURPOSE

The purpose of the Tennessee Tigers/Tennessee Lady Tigers Organization is to provide a youth basketball organization for girls and boys interested in playing basketball. Fundamentals, sportsmanship, and fair play will be stressed. The Board and its members endorse the Amateur Athletic Union (AAU) Code of Ethics.


II. GOVERNING AUTHORITY

The governing authority for this organization shall be the Tennessee Tigers/Tennessee Lady Tigers, Inc.'s Executive Board of Directors. Each member of the Executive Board of Directors shall be appointed by the President and Chairman.

There shall also be a general Board of Directors comprised of the members of the Executive Board and the Head Coaches of each team. The 2002-2003 Officers, Executive Board of Directors and Board of Directors are as follows:

Officers:

Executive Board of Directors:

Officers, Divisional Directors for West Tennessee Lady Tigers, West Tennessee Tigers, East Tennessee Lady Tigers, the Alabama Tigers, and Age Directors.

Each member of the Executive Board of Directors shall be appointed by the President and Chairman.

Head Coaches of each team.


Duties of Officers:

President - The President shall preside at all meetings of the Tennessee Tigers/Tennessee Lady Tigers Executive Board Meetings and Board Meetings, shall represent Tennessee Tigers/Tennessee Lady Tigers in whatever capacity is necessary, and shall be an official member of all committees.

Chairman - The Chairman shall assume the duties of the President in the absence or inability of the President to perform such duties, or as otherwise directed by the President. The Chairman will assist the President in oversight and supervision of the Tennessee Tigers/Tennessee Lady Tigers organization.

Treasurer - The Treasurer will have custody of all money belonging to the Tennessee Tigers/Tennessee Lady Tigers organization, will be responsible for setting up and maintaining a checking account for the organization, shall pay all costs/expenses (approved by the Executive Board) incurred by the Organization, shall receive all monies payable to the Organization, shall keep an accounting and record of monies received and monies expended, and shall present special reports as requested by the President, Chairman, and/or Executive Board.

Secretary - The Secretary shall attend to all correspondence and non-monetary record keeping for the organization, and shall keep accurate and permanent records of the minutes of Executive Board meetings and Board meetings. The Secretary shall present special reports as requested by the President, Chairman, and/or the Executive Board. The Secretary shall also conduct other business as necessary to facilitate the operation of the Tennessee Tigers/Tennessee Lady Tigers organization.

Duties of Executive Board:

The Executive Board of Directors shall be responsible for the management and oversight of the Tennessee Tigers/Tennessee Lady Tigers organization, shall approve expenditures, shall take appropriate actions to achieve the stated goals of the organization, shall report its transactions and decisions to the general Board of Directors, and shall formulate rules and policies for the organization as needed.

The Executive Board of Directors shall have full authority to speak and act for the Tennessee Tigers/Tennessee Lady Tigers organization between meetings of the general Board of Directors. It shall hold such meetings as are necessary to formulate policies for the organization and to consider issues as they may arise. It shall give general direction to the entire organization. Two-Thirds of the membership of the Executive Board shall constitute a quorum. No official act of the Executive Board shall take place in the absence of a quorum.

The Executive Board shall meet at least annually and as called to meetings by the President.

Duties of the Board of Directors:

The Board of Directors shall hold such meetings as are necessary to formulate policies and rules for the organization and to consider issues as they may arise. It is responsible for communicating the status of individual teams, bringing issues or concerns to the Executive Board, and assisting with oversight of the organization. Two-Thirds of the membership of the Board of Directors shall constitute a quorum. No official act of the Executive Board shall take place in the absence of a quorum.

The Board of Directors shall meet at least annually and as called to meetings by the President and Executive Board.


III. COMMITTEES

As the need may arise, the President and Executive Board may appoint special committees. The President shall appoint an individual as chairperson for any such committee that is formed.


IV. AMENDMENTS

Proposed amendments or changes to the by-laws must be presented in writing to the Executive Board. Any such proposed amendment or change may be presented by any member of the organization (officers, directors, coaches, assistant coaches, or parents). Any such amendment must be approved by the Executive Board and the Board of Directors. The President has veto power over any such proposed amendments.


V. NAME

The name of this Organization shall be the Tennessee Tigers/Tennessee Lady Tigers, Inc., a non-profit corporation incorporated in the State of Tennessee.


VI. ANNUAL MEETING

Tennessee Tigers/Tennessee Lady Tigers, Inc. Executive Board and Board of Directors shall hold an annual meeting during January of each year. The date, time, and place shall be determined by the Executive Board.

A general membership meeting shall be held at least annually. Other meetings shall be called by the President, Chairman, and/or Executive Board as necessary.

VII. DISSOLUTION OF THE CORPORATION

A dissolution of the Corporation may only be accomplished by a quorum vote by the Board of Directors. In the event of such dissolution, the remaining assets, if any, of the Corporation shall be turned over to a non-profit basketball organization with goals similar to the Tennessee Tigers/Tennessee Lady Tigers, in compliance with the Internal Revenue Code.

VIII. INTERNAL REVENUE LIMITATIONS

The Tennessee Tigers/Tennessee Lady Tigers is a non-profit organization as defined by state and federal law. It shall conduct only those activities permitted to be conducted by a non-profit organization as set forth and defined by the Internal Revenue Code and state law.
